1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Mass Lodge, LLC (“Mass Lodge,” “we,” “us,” or “our”), including the masslodge.com website, LODGIC, our corporate travel and lodging management platform, and our text messaging program (together, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

The Service provides a client portal where you can view your travel requests and reservations, submit new requests, send modification requests, and, where made available to you, view related invoices. The features available to you may vary depending on your account.

3. User Accounts

To use certain features of the Service, you must have an account. You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for promptly notifying us of any unauthorized access. You agree to provide accurate and complete information and to keep it up to date.

4. Fees

Access to the Service and the lodging arranged through it may be subject to service fees, program fees, and charges for reservations, as agreed between Mass Lodge and your organization. Applicable fees are set out in the agreement or order between Mass Lodge and your organization and may be reflected on invoices generated through the Service.

5. Payment Terms

Invoices issued through the Service are due in accordance with the terms stated on the invoice or in the applicable agreement with your organization. Amounts not paid when due may be subject to late charges as permitted by law. Unless otherwise stated, all fees are exclusive of applicable taxes, which are your responsibility.

6. Intellectual Property

The Service, including its software, design, text, graphics, and logos, is owned by Mass Lodge or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Service.

7. User Content

You retain ownership of the information and content you submit to the Service (“User Content”). You grant Mass Lodge a royalty-free, worldwide license to use, process, and display User Content as necessary to provide and improve the Service. You represent that you have the rights necessary to submit User Content and that it does not violate any law or third-party right.

8. Prohibited Uses

You agree not to:



  • Use the Service for any unlawful or fraudulent purpose;
  • Access data or accounts you are not authorized to access;
  • Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it;
  • Upload viruses, malicious code, or content that infringes the rights of others; or
  • Use the Service to send unsolicited communications or to harass others.

9. Text Messaging (SMS)

Program. Mass Lodge sends text messages about lodging arranged through the Service. These are transactional messages; we do not send marketing texts. Messages may include:



  • Verification codes when you add or change your mobile number;
  • Notices that a travel request was received, a reservation was confirmed, or an invoice is available;
  • Reminders about reservations checking in or checking out soon; and
  • For travelers, a stay’s hotel, confirmation number, and check-in and check-out dates, plus reminders the day before check-in and check-out.

 

Opting in. Portal users opt in by confirming their mobile number with a texted verification code and turning on text notifications in their profile settings. Text notifications are off until you turn them on, and you can change them at any time. Travelers opt in when their mobile number is provided to us to arrange their stay. [Seth: confirm how a traveler agrees to this. See note below.] Consent to receive text messages is not a condition of any booking.

 

Message frequency. Message frequency varies with your reservation activity. You may receive up to 500 messages per month.

 

Costs. Message and data rates may apply.

 

Opting out. Reply STOP to any message to stop receiving texts. We will send one message confirming that you have opted out, and no further texts will be sent unless you opt in again by replying START. Portal users can also turn off text notifications in their profile settings.

 

Help. Reply HELP to any message, or contact us at support@masslodge.com or [phone number].

 

Carriers. Wireless carriers are not liable for delayed or undelivered messages.

 

Privacy. See our Privacy Policy for how we handle your mobile number.

10. Limitation of Liability

To the maximum extent permitted by law, Mass Lodge will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of the Service. The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied.

11. Indemnification

You agree to indemnify and hold harmless Mass Lodge and its affiliates, officers, and employees from and against any claims, damages, liabilities, and expenses arising out of your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination will survive.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, United States, without regard to its conflict-of-laws principles. You agree to first attempt to resolve any dispute informally by contacting us before pursuing formal proceedings.
